A breakfast meeting took place with LESG group members at the Flora Garden, a Greek Restaurant, in Poly Plaza, Beijing, on March 9, 2019 from 8:30 am to 9:30 am.

Members exchanged latest information with their respective learning of Legal English. Shares are made below with permissions from the participating members.

2019年3月9日早上8:30—9:30，法律英语研习小组在北京保利大厦的“维拉花园”希腊餐厅举行了一次早餐交流会。

早餐会上，研习小组成员分享了自己学习法律英语的最新收获和体会。经成员一致同意，现将研习小组的交流成果分享给大家。内容如下。

Topic One

New Legal Development

立法的最新进展

《中华人民共和国外商投资法》（草案）

The first topic is concerning the latest development of the Foreign Investment Law  (New FI Law Draft). 

Based on the National People 's Congress report on the draft of China's Foreign Investment Law, we come up with some noticeable features of the New FI Law, including the following content.

结合全国人大会议对《中华人民共和国外商投资法（草案）》（下称“草案”）的说明，研习小组经讨论认为，该草案包含以下值得关注的特点。

Wider Market Access

更广阔的市场准入

The State will use the negative list method to list all areas that are restricted or prohibited for foreign investment. Outside the list are areas that are open to all foreign investors. Foreign investors need to watch out the negative lists made out from the government.

中国政府将进一步完善负面清单制度，以明确对外商投资限制准入类和禁止准入类的行业。负面清单以外的所有领域将向外商投资开放。这意味着境外投资者在华投资需要关注中国政府最新制定的负面清单。

Equal Opportunity

机会均等

 The State will provide equal opportunity and equal protection to domestic entities and FIEs in the country. This is a very positive development in terms of levelling the playing field for all players in the market economy in the country.

对负面清单以外的行业，中国政府将为在中国投资的内资企业和外资企业提供同等的机会和保护。这将极大地促进在华外资企业在市场经济条件下公平地参与竞争。

Investment Protection 

投资保护

The State will include the concept of investment protection that exists in BITs into domestic law to provide protection to foreign investors. The government will not expropriate foreign investment unless for public interest purposes and with fair and reasonable compensation.

中国将会把中外双边投资保护协定中“投资保护”的概念纳入中国国内法，以实现对外国投资者更好的保护。除基于公共利益的目的并给予公平合理的补偿，中国政府不会对外商在华投资实行国有化。

Administrative Convenience

行政便利

The State will provide regulatory convenience in terms of registration of foreign investment entities. Also noted that local government agencies are called to keep their words regarding contracts and treatments to foreign investors and perform contractual promises in their relationship with the foreign investors.

中国将为外商投资企业办理注册登记提供规则上的便利。同时，该草案还要求地方政府机构信守对外商投资企业的承诺，保障外商投资企业的法定待遇，信守合同约定并积极履行合同义务。

Topic Two

Rule of Law and Independence of the Federal Attorney General in Canada

法治与加拿大司法部长的独立

Some observations regarding the case involving SNC-Lavalin in Canada were shared. 

The facts are in dispute but the general outline is that the PMO/Prime Minister is said to have brought pressure upon the former Attorney General seeking to cause her to direct federal prosecutors to negotiate an out-of-court settlement known as a remediation or deferred prosecution agreement with SNC-Lavalin. The Attorney General stood her ground and was subsequently demoted from her position in the government. Later, she resigned from the federal cabinet. 

This case raises, among other things, the issue of the independence of the Attorney General and prosecution service and the transparency of decision making in DPA cases.

研习小组成员就加拿大SNC-兰万灵集团的案件交换了看法。

尽管案件事实仍存在较大争议，但根据目前公开信息可知，加拿大总理向加拿大前司法部长施压，要求前司法部长指示联邦检察官与SNC-兰万灵集团就庭外和解协议进行谈判。该协议被称为补救协议或暂缓起诉协议。前司法部长拒绝总理的要求并坚持自己的立场，但随后遭降职。事后，她辞职退出内阁。

除其他可能存在的问题外，这起案件引发了对加拿大司法部长和检察机关的独立性及在暂缓起诉协议案件决策中的透明度的质疑。

IP Monitoring Services

Cornell JD candidates shared some of their innovative work regarding IP infringement monitoring services in the Chinese market. 

研习小组成员、美国康奈尔大学法学院的两位在读法学博士分享了他们的知识产权侵权监测服务在中国市场上的创新成果。

It was offered that IP monitoring services could be provided through professionals who are assisted by computer software to monitor the market on IP infringement activities in the local market and provide monitoring updates to valued IP owners and brand clients. 

An example of a growing IP owner who found some imitators in Suzhou was explored out of the mode of monitoring services in some detail. 

据悉，该服务可协助知识产权保护领域的法律专业人士，通过软件准确、及时掌握本地市场的侵权活动，并为知识产权主体及客户提供最新的侵权风险信息。

结合知识产权侵权监测的服务模式，研习小组成员还深入探讨了一个发生在苏州的知识产权侵权案例。
